Master Services Agreement: 90-Day Growth & AI Architecture Sprint

1. Scope of Services & Deliverables

  • Dedicated AI Architect (~20 hours/week in Month 1) for technical build-out.
  • PageSpeed optimization and deployment of a custom analytics dashboard.
  • HubSpot Sales Engine engineering for automated quoting via Clay enrichment.
  • Omnichannel Media Management: Ground-up build and daily optimization of Meta Ads and Google Ads.

2. Media Management Boundaries & Spend Tiers

The base retainer includes active daily media management for up to $20,000 in monthly ad spend.

Scaling Clause: To align with the goal of scaling ad spend to the $80,000/month objective, any monthly media spend exceeding the included $20,000 threshold will be billed at a flat performance-scaling rate of 2.5% of the overage.

3. Financial Terms

  • Retainer: $8,500 USD per month.
  • Billed monthly via recurring credit card payment. Third-party software (e.g., HubSpot) and raw ad spend (Google/Meta) are billed directly to the Client. All retainer fees are non-refundable.

4. Term & Termination

This agreement represents a 90-day sprint. Upon completion, it automatically transitions to a month-to-month retainer, cancellable with 30-day written notice.

5. Intellectual Property & Ownership

Upon receipt of full payment for the monthly retainer, all custom software builds, automated workflows, dashboards, and ad creatives developed by the Agency during this engagement become the sole and exclusive property of the Client.

6. Confidentiality

The Agency agrees to maintain strict confidentiality regarding all Client data, including but not limited to Amazon customer lists, proprietary operational processes, and internal revenue metrics.

7. Limitation of Liability

While the Agency employs industry-leading AI architecture and media buying best practices, the Agency does not guarantee specific sales volumes, Return on Ad Spend (ROAS), or platform algorithmic changes outside of the Agency's control.
